BREAKING: NERC DISMISSES KADUNA ELECTRICITY DISTRIBUTION COMPANY BOARD, APPOINTS INTERIM DIRECTORS

The Nigerian Electricity Regulatory Commission (NERC) has dissolved the Board of Directors of Kaduna Electricity Distribution Company (KAEDC) over what it described as prolonged regulatory and market failures.
NERC announced the decision in a regulatory order dated August 10, 2026, signed by its Chairman, Musliu Oseni, and Commissioner for Legal, Licensing and Compliance, Dafe Akpeneye.
The commission subsequently constituted an interim seven-member board comprising Dr Abdullahi Garba, Engr Francis U. Agoha, Mr Aliyu E. Aliyu, retired Major General Henry E. Ayamasaowei, Dr Haliru Dikko, Mr Ayodeji A. Gbeleyi, representing the Bureau of Public Enterprises, and Dr Abubakar Umar Hashidu.
NERC also appointed the incumbent Managing Director and Chief Executive Officer of KAEDC, Dr Abubakar Umar Hashidu, as Administrator for an initial six-month term, subject to review by the commission.
According to the regulator, the board’s dissolution was necessitated by the company’s worsening financial and operational condition, marked by prolonged regulatory and market defaults, inadequate investment, weak operational and commercial performance, insufficient assets relative to liabilities and the absence of a credible plan for sustainable recovery.
NERC stated that the existing board had been dissolved and all its directors removed from office in accordance with Section 75 of the Electricity Act.
The commission added that it had notified the Corporate Affairs Commission (CAC) and other relevant stakeholders of the decision.
It further directed that the CAC must not register or effect any changes to KAEDC’s shareholding, directorship or constitutional records during the special transition period without NERC’s prior written approval.
